1. General Provisions

These Terms govern participation in the Partner Program operated by MP Merlin Limited ("UpVinti").

Definitions:

• Partner - a natural or legal person participating in the Partner Program
• Partner Program - UpVinti's affiliate program enabling earning commissions for referrals
• Commission - remuneration due to the Partner for successful referrals
• Partner Code - unique identifier assigned to the Partner used for tracking referrals
• Referred User - a person who registered on UpVinti using the Partner Code

2. Eligibility Requirements

To become a Partner, you must meet the following requirements:

• Be at least 18 years old
• Have an UpVinti account
• Have an active social media profile with at least 500 followers
• Operate in fashion, vintage, reselling or lifestyle area
• Pass positive verification by the UpVinti team
• Accept these Terms

3. Partner Obligations

The Partner commits to:

• Ethically promoting UpVinti services in accordance with law and good practices
• Presenting truthful and accurate information about UpVinti services
• Marking advertising content according to legal requirements (e.g., #ad, #sponsored)
• Not using spam practices or dishonest promotion methods
• Not creating fake accounts or artificially generating referrals
• Not promoting competing services simultaneously with UpVinti
• Informing UpVinti about any technical issues with partner links

4. Commission System

Commission calculation rules:

• Commission is 10% of each subscription payment from referred users
• Commission is calculated for the entire duration of the referred user's subscription
• Commission is only calculated for the first subscription of each referred user
• Commission does not apply to one-time payments (e.g., credit packs)
• UpVinti reserves the right to change commission rate with 14 days notice
• Commissions are visible in the Partner Dashboard in real-time

5. Commission Payouts

Rules for paying out accumulated commissions:

• Minimum payout threshold is 100 PLN or equivalent in EUR
• Payouts are made via bank transfer or PayPal
• Payout term: up to 14 business days from request submission
• Payout requires providing billing information (invoice details or bank account)
• Partner is responsible for proper tax settlement of received commissions
• UpVinti may withhold payment in case of suspected fraud or terms violation

6. Prohibitions and Restrictions

The Partner may not:

• Use Partner Code for self-registrations (self-referral)
• Use spam, unsolicited emails or SMS
• Create fake accounts or artificially generate referrals
• Use paid advertising with "UpVinti" as a keyword without permission
• Modify partner links or tracking codes
• Offer unauthorized discounts or promotions on behalf of UpVinti
• Present UpVinti services in a misleading manner

7. Promotional Materials

Rules for using UpVinti brand materials:

• Partner may use UpVinti logo only as specified in brand guidelines
• All promotional materials must be truthful and accurate
• Partner must accurately represent the scope and functionality of UpVinti services
• UpVinti may provide ready-made promotional materials for use
• Partner may not modify brand materials without written consent
• When creating own materials, they must be consistent with brand image

8. Termination of Cooperation

Cooperation may be terminated in the following cases:

• Partner may withdraw from the program at any time by emailing contact@upvinti.com
• UpVinti may terminate cooperation immediately in case of terms violation
• UpVinti may terminate cooperation with 14 days notice without giving reason
• After termination, accumulated commissions above payout threshold will be paid
• After termination, Partner loses the right to use UpVinti brand materials
• Partner account will be deactivated and partner links will stop working

9. Liability

Liability limitations:

• UpVinti is not liable for changes in social media platform algorithms affecting Partner reach
• UpVinti does not guarantee a specific level of earnings from the partner program
• Maximum UpVinti liability is limited to commissions paid in the last 12 months
• Partner bears full responsibility for content published in UpVinti promotions
• UpVinti is not responsible for technical issues on external platforms

10. Data Protection

Processing of Partner's personal data:

• Partner's personal data is processed in accordance with GDPR and UpVinti Privacy Policy
• Billing data is stored for 7 years according to accounting requirements
• Partner has the right to access, rectify and delete their data
• Data is not shared with third parties except payment operators

11. Changes to Terms

UpVinti reserves the right to modify these Terms.

Partner will be notified of any significant changes via email with at least 14 days notice. Continued participation in the program after changes take effect constitutes acceptance of the new terms.
